Shock-Envision Licensing Agreements

1. Royalty-Free License Agreement (RF)Shock-Envision Royalty-Free License Agreement

This Royalty-Free License Agreement ("License") governs your use of stock photos, videos, or music ("Content") purchased from Shock-Envision. By licensing Content, you agree to these terms.

  • Grant of License: Shock-Envision grants you a non-exclusive, worldwide, perpetual license to use, reproduce, modify, and distribute the Content for personal or commercial purposes, subject to the restrictions below.
  • Permitted Uses:
    • Use in digital or print media (e.g., websites, social media, brochures, presentations).
    • Use in advertising, marketing, or editorial projects.
    • Modify the Content (e.g., crop, resize, or edit) as needed.
  • Restrictions:
    • You may not resell, sublicense, or redistribute the Content as a standalone product (e.g., on a stock media marketplace).
    • You may not use the Content in products for resale (e.g., t-shirts, posters) unless you purchase an Extended Royalty-Free License.
    • You may not use the Content in a way that implies endorsement by identifiable individuals (e.g., models) or for defamatory, illegal, or sensitive purposes (e.g., adult content).
  • Ownership: The Content remains the property of the contributor or Shock-Envision. You only receive usage rights.
  • Warranty: Shock-Envision warrants that the Content does not infringe third-party rights, provided you comply with this License.
  • Liability: Shock-Envision’s liability is limited to the amount you paid for the Content. We are not liable for indirect damages (e.g., lost profits).

2. Extended Royalty-Free License Agreement Shock-Envision Extended Royalty-Free License Agreement

This Extended Royalty-Free License Agreement ("License") extends the rights granted under our standard Royalty-Free License. By licensing Content under this License, you agree to these terms.

  • Grant of License: Shock-Envision grants you a non-exclusive, worldwide, perpetual license to use the Content, including all rights under the standard Royalty-Free License, plus the additional rights below.
  • Additional Permitted Uses:
    • Use in products for resale (e.g., t-shirts, posters, packaging) up to 500,000 units.
    • Use in large-scale commercial projects (e.g., TV ads, billboards) with broader distribution.
  • Restrictions:
    • All restrictions from the standard Royalty-Free License apply, except as modified above.
    • You may not exceed the 500,000-unit limit for resale products without a custom license.
  • Ownership and Liability: Same as the standard Royalty-Free License.

3. Editorial License Agreement Shock-Envision Editorial License Agreement

This Editorial License Agreement ("License") governs the use of Content labeled as "Editorial Use Only" on Shock-Envision. By licensing such Content, you agree to these terms.

  • Grant of License: Shock-Envision grants you a non-exclusive, worldwide, perpetual license to use the Content solely for editorial purposes.
  • Permitted Uses:
    • Use in news articles, blogs, documentaries, books, or educational materials.
    • Use for non-commercial purposes only, to illustrate events, people, or topics of public interest.
  • Restrictions:
    • You may not use the Content for any commercial purpose (e.g., advertising, promotions).
    • The Content may not be modified in a way that distorts its editorial context.
    • No model or property releases are provided; you’re responsible for ensuring compliance with applicable laws.
  • Ownership and Liability: Same as the standard Royalty-Free License.

4. Rights-Managed License Agreement (RM)Shock-Envision Rights-Managed License Agreement

This Rights-Managed License Agreement ("License") governs the use of Content purchased under a rights-managed license. By licensing such Content, you agree to these terms.

  • Grant of License: Shock-Envision grants you a license to use the Content for the specific purpose, duration, region, and exclusivity level outlined at checkout (e.g., “exclusive use in North America for 1 year in print advertising”).
  • Permitted Uses:
    • Use the Content only as specified in the license details (e.g., media type, distribution, timeframe).
  • Restrictions:
    • Any use beyond the specified terms requires a new license.
    • You may not sublicense or transfer the Content to others.
  • Exclusivity: If specified, the Content will not be licensed to others for the same use during the exclusivity period.
  • Ownership and Liability: Same as the standard Royalty-Free License.
  • Additional Fees: Additional uses outside the agreed terms will incur fees based on our rates at the time of request.

5. Music Licenses (Standard and Premium)Shock-Envision Music License Agreement (Standard)

This Standard Music License Agreement ("License") governs the use of music tracks purchased from Shock-Envision. By licensing music, you agree to these terms.

  • Grant of License: Shock-Envision grants you a non-exclusive, worldwide, perpetual license to use the music track in small-scale projects.
  • Permitted Uses:
    • Use in personal or small-scale commercial projects (e.g., YouTube videos, podcasts, local ads).
    • Distribution up to 10,000 views/listens.
  • Restrictions:
    • You may not use the music in projects exceeding 10,000 views/listens without a Premium Music License.
    • You may not resell or redistribute the music as a standalone product.
    • You may not claim ownership of the music or register it with performance rights organizations (e.g., ASCAP, BMI).
  • Ownership and Liability: Same as the standard Royalty-Free License. Shock-Envision Music License Agreement (Premium)

Last Updated: May 19, 2025This Premium Music License Agreement ("License") extends the rights granted under the Standard Music License. By licensing music under this License, you agree to these terms.

  • Grant of License: Shock-Envision grants you a non-exclusive, worldwide, perpetual license to use the music track, including all rights under the Standard Music License, plus the additional rights below.
  • Additional Permitted Uses:
    • Use in large-scale commercial projects (e.g., TV shows, films, national ad campaigns).
    • Unlimited views/listens and distribution.
  • Restrictions:
    • All restrictions from the Standard Music License apply, except as modified above.
  • Ownership and Liability: Same as the standard Royalty-Free License.

6. Contributor AgreementShock-Envision Contributor Agreement

This Contributor Agreement ("Agreement") governs your participation as a contributor on Shock-Envision. By uploading content, you agree to these terms.

  • Grant of Rights: You grant Shock-Envision a worldwide, non-exclusive, royalty-free license to host, distribute, display, and sublicense your content (photos, videos, music) to buyers under the licenses offered on our platform.
  • Your Responsibilities:
    • You confirm that you own the content or have the legal right to license it, including any necessary model or property releases for commercial use.
    • Your content must not infringe on third-party rights or contain illegal, defamatory, or harmful material.
  • Royalties: You’ll earn 30% of the net license fee for each sale of your content, paid monthly once you reach a $50 minimum threshold. Rates may be adjusted with 30 days’ notice.
  • Content Removal: We may remove your content at our discretion (e.g., for legal reasons). You may also request removal, but licenses already granted to buyers remain valid.
  • Termination: You or Shock-Envision may terminate this Agreement with 30 days’ notice. Upon termination, we’ll stop licensing your content, but existing licenses to buyers remain in effect.
  • Liability: You indemnify Shock-Envision against claims arising from your content (e.g., copyright disputes).
